Chapter 1 Setting the Scene​

ANE GmbH & Co. KG (ane.energy) is a German direct marketer and green energy trader, renowned for its growth and dedication to empowering green asset owners in effectively marketing their power production. Since its inception in 2017, ane.energy has been involved in multiple sectors, venturing into green power trading, direct marketing, direct supply through CPPAs, and pioneering real-time synchronization of generation and consumption. With a diverse shareholder network, ane.energy boasts direct access to an impressive renewable energy capacity of over 8,000 MW, encompassing onshore wind, solar PV, and biomass all underlying a strong growth and expansion ambition.

Chapter 2 How we helped​

PwC took on the role of lead M&A sell-side advisor for ane.energy. With the ambition to secure the necessary funding to support the company's ongoing business development, expansion into new sectors, and continued growth, PwC's involvement in this deal required navigating a more complex process to managing a number of shareholders, a capital increase, and the sale of shares. 

Heading the charge was the PwC Germany Deals Energy team, led by Steffen Apfel, Partner, PwC Corporate Finance Partner, Germany and backed by a team of M&A professionals with deep knowledge of the energy sector. PwC took a platform approach, providing Vendor Assistance and Tax Structuring through the German Financial & Valuation and Deals Tax teams while the German Legal team skillfully drafted and negotiated the participation agreement and share purchase agreement. After rigorous evaluation, Hamburger Energiewerke was identified as the ideal partner, aligning strategically, financially, and culturally to drive ane.energy's future growth story.

Chapter 3 Making a Difference​

The partnership with Hamburger Energiewerke, a 100% municipal energy utility company, will enable ane.energy to achieve their vision and values while conquering new frontiers in the decarbonized energy industry. This deal was not only significant for ane.energy and Hamburger Energiewerke but also for the renewable energy sector in Germany as a whole, triggering a buzz of third-party interest across the sector.

The signing of the participation and share purchase agreement marked a significant milestone for ane.energy and Hamburger Energiewerke. The future holds exciting opportunities for this dynamic partnership.
