Due Diligence

Our team of highly qualified lawyers provides pre-deal due diligence to identify risks and provide recommendations for their mitigation. We carry out both buy side and sell side due diligence projects. Our scope covers all issues that need to be taken into account both during the negotiation phase and the post-deal integration phase.

Transaction Structuring

Our team of highly qualified lawyers provides transaction structuring services, which include commenting on regulatory requirements applicable to a particular transaction, commenting on the required transaction documents and other aspects that need to be taken into account for successful closure of the transaction.

Legal transaction support services

Our services include preparing, reviewing, commenting on, negotiating and finalizing the transaction documents (sale and purchase, option, shareholders’ agreement, the foundation agreements, financing and security contracts, etc.). We also assist with obtaining state approvals applicable to the transaction.
