Legal due diligence
industry-specific diagnosis of the target from a legal standpoint (either full-scope or limited, sell or buy side); identification of any deal-breakers; and advice and support for addressing any detected risks
Structuring
analysis of the tax and legal implications of the proposed transaction structures; analysis of specific regulatory requirements for the implementation of the transaction; elaboration of efficient structuring options and establishment and operation of JVs
Transaction documents
drafting/reviewing sale and purchase agreements under Ukrainian, English, or any other relevant law; drafting/reviewing other transaction documents (e.g. shareholders’ agreement, escrow account agreement, letter of intent, confidentiality and exclusivity agreements) and drafting internal corporate documents related to the transaction
Acquisition clearance
