SISP
On March 31, 2023, the Court granted an order (the “SISP Order”) authorizing PricewaterhouseCoopers Inc., LIT, in its capacity as Monitor of Field Trip Health & Wellness Ltd. and Field Trip Health Holdings Inc., Field Trip Health Canada Inc., Field Trip Digital Canada Inc. and Field Trip Health USA Inc. (“Field Trip”) to commence a sale and investment solicitation process (the “SISP”).
Unless otherwise defined, capitalized terms used on this page of the website shall be as defined in the SISP Order, Schedule “A” to the SISP Order or the First Report of the Monitor, dated March 28, 2023 (the “First Report”), all available at the bottom of this page.
The full text of the SISP as well as its terms and conditions are set out in Schedule “A” to the SISP Order. A summary of the SISP can be found in the First Report.
The purpose of the SISP is to solicit interest in the opportunity to:
1. Acquire all, substantially all or a portion of the Property (the “Sale Proposal”);
2. Invest in, restructure, reorganize or refinance the Property, the Business of Field Trip or Field Trip (the “Investment Proposal”);
3. Carry out any combination of the Sale Proposal or the Investment Proposal.
The following table sets out the key milestones of the SISP.
