Sale and Investment Solicitation Process (SISP)

Status of File as of March 15, 2024

In accordance with Section 8 of the SISP, the Company has extended the Phase 1 deadline to submit a Letter of Intent from 2 pm (EST) on March 6, 2024 to 2 pm (EST) on March 20, 2024.

Status of File as of February 6, 2024

On February 6, 2024 (the “SISP Approval Date”), the Court issued an order (the “SISP Approval Order”) which, among other things approved the Sale, Refinancing and Investment Solicitation Process (“SISP”).

Unless otherwise defined, capitalized terms used on this page of the website shall be as defined in the SISP Approval Order.

The full text of the SISP as well as its terms and conditions are set out in Schedule “A” to the SISP Approval Order, a copy is attached below. A summary of the SISP can be found in the Monitor’s Second Report dated February 2, 2024.

The purpose of the SISP is to solicit interest in, and opportunities for a refinancing, sale or investment in the Company. The SISP contemplates a two-phase process commencing immediately upon the Court approval. The SISP will be conducted by Clariti Strategic Advisors Inc. (the “Financial Advisor”), with the assistance of the Company, and under the oversight of the Monitor.

The following table sets out key milestones under the proposed SISP:
