Here is an overview of the AI Act and key steps that companies should consider from a compliance perspective.
In recent years, projects related to the privatisation of third-sector and publicly owned businesses and to public-private partnerships are on the rise, due in part to financial reconstruction efforts by local governments and revisions to public services. These projects require diverse legal considerations encompassing multiple fields, such as corporate law, M&A, restructuring, various regulations and finance, based on a thorough understanding of laws and regulations related to local governments and public businesses.
In public sector-related fields involving the national government, local governments, third-sector companies, private businesses, financial institutions etc., we conduct timely checks and analyses of revisions to relevant laws, regulations and guidelines, and provide legal advice according to the characteristics of each project.
When local governments find it necessary to discontinue third-sector companies or publicly owned businesses, they have the option of transferring shares and assets of their third-sector companies to private businesses, fully privatising their publicly owned businesses, or liquidating their third-sector companies. We provide appropriate legal advice based on the position of each party concerned, based on our track record on numerous projects related to the privatisation of third-sector companies, municipal land utilisation projects and more.
In addition to public-private partnerships (PPPs) and private finance initiatives (PFIs), the number of concession projects related to airport, water supply, sewerage and other operations is on the rise. We provide appropriate legal advice based on our extensive experience in dealing with PPP, PFI and concession projects.
With regard to the sale of shares in a third-sector company, PwC Legal Japan assisted a local government in collaboration with PwC Advisory LLC. PwC Legal Japan provided legal advices on the interpretation and application of the Companies Act, the Local Autonomy Act, relevant local government ordinances and the Financial Instruments and Exchange Act to support the legal aspects of the privatisation of the third-sector company.
In collaboration with PwC Advisory LLC, PwC Legal Japan supported the relevant government agency in the review and implementation of the concession of several local airports. PwC Legal Japan conducted legal due diligence for each project and provided legal support for each project.
PwC Legal Japan, in collaboration with PwC Advisory LLC, provided support to a local government for the establishment and operation of an organisation in charge of running an international exposition. In supporting the organisation as a general incorporated association, we provided legal support for the establishment and operation by advising on the interpretation and application of laws related to general incorporated associations and general incorporated foundations, etc.
PwC Legal Japan, in collaboration with PwC Advisory LLC, provided support to a local government for the reorganisation of its external organisations. As part of this reorganisation support, PwC Legal Japan conducted legal due diligence for the external organisations and provided legal support in considering the structure of the reorganisation from a legal perspective.
