We have extensive experience in both real estate transactions and real estate finance transactions, including real estate M&A projects. Representing domestic and international real estate funds, financial institutions and developers, we have been involved in a wide variety of transactions including the acquisition, selling, lease and development of real estate in Japan and abroad, such as offices, hotels, residential assets, logistics assets, data centers, retail shopping malls and healthcare facilities. Working with the PwC global network, we provide support for both offshore investors looking to invest in real estate in Japan and domestic investors looking to invest in offshore real estate.
Our services include day-to-day support for the sale, lease and operation of real estate, legal advice on property technology related matters(Prop Tech), and support for the restructuring of distressed investment projects.
For onshore or offshore investors looking to invest in or redevelop real properties, we provide a wide variety of legal support, by reviewing investment structures, conducting legal due diligence on such real properties, and drafting and negotiating the necessary contracts for equity fund raising and/or debt financing (including providing legal opinions and memorandums). We also provide legal support for implementation of an exit strategy, by selling the investment interests and/or the real properties.
For financial institutions, we provide legal support for the closing of financial transactions by preparing and negotiating loan agreements, project agreements, pledge agreements and other security agreements. We draft these agreements by conducting risk analyses based on our extensive experience in restructuring projects.
In the event that a party in a project goes bankrupt or is in danger of going bankrupt, we provide legal support for the restructuring of the distressed project, such as refinancing, acceleration of debt financing and the exercising of security interests, to protect and collect the clients' receivables.
